We are a community association representing people in Poolbrook and surrounding areas of the town of Malvern, owning and running ‘The Octagon’ a purpose built community centre. 

Working with other organisations we to try and bring services and activities into the local area and have, for example, partnered with YMCA who now deliver youth work from the centre every week, with 2 paid staff and 6 volunteers.

Constitution for the Brook Farm Community Association

 

1.     Name

The name of the Association will be the Brook Farm Community Association, herinafter referred to as “the association”.

 

2.     Objects and powers

  1. To promote the benefit of the inhabitants of the Poolbrook, and surrounding areas of the town of Malvern, ( herinafter called the area of benefit ) without distinction of sex, race, political, religious or other opinions by association the local authorities, voluntary organisations and inhabitants in a common effort to further health to advance education and to provide facilities in the interests of social welfare for recreation and leisure-time occupation with the object of improving the conditions of life for the said inhabitants.

 

  1. To maintain and manage a community Centre, ( herinafter referred to as the Centre ) to promote the activities outlined above.

 

  1. The Association will be non-party in politics and non-sectarian in religion.

 

  1. In furtherance of the above charitable purposes but not otherwise, the Association may raise funds, receive money, purchase and dispose of property, enter legal agreements and such other lawful things that are necessary for the attainment of the objects.

 

3.     Membership

Membership shall be open irrespective of political party, nationality, religious opinion, race or colour to:-

 

  1. All those over 18 living within the area of benefit who support the objects of the Association.

 

  1. All those under 18 living within the area of benefit may join the Association, but shall not have voting rights. 

 

  1. Groups using the centre shall affiliate to the Association. Such groups shall appoint one individual person to represent it and vote on its behalf at General Meetings of the Association.  In the event of such individual persons resigned from, or otherwise leaving a group, he/she shall forthwith cease to be a representative thereof. The group concerned shall have the right to appoint a new representative informing the secretary of the association in writing.

 

  1. People over 18 years old living outside the area of benefit and who support the objects of the organisation may join as associate Members without voting rights.

 

The membership year of the organisation shall run from 1 April to 31 March. 

 

4.     Subscriptions

All individual members and affiliated groups shall pay such subscriptions as the General Committee hereinafter mentioned shall decide from time to time.

 

5.     Termination of membership

The General Committee hereinafter mentioned shall have the right for good and sufficient reason to suspend or to terminate the membership of any member provided that the member shall have the right to be heard by the General Committee before the final decision is made.

 

6.     The General Committee

Subject as hereinafter mentioned the day to day policy and management of the affairs of the Association shall be directed by a General committee ( herinafter called “the Committee”) with shall meet not less than six times a year.

 

The Committee shall consist of:-

 

  1. Up to eight (8) adult members of the Association elected from and among themselves at the Annual General Meeting.

 

  1. Up to four (4) adult members of user groups of the Centre elected at the Annual General Meeting.

 

 

  1. One (1) representative nominated by Malvern Hills District Council.

 

  1. One (1) representative nominated by Hereford and Worcester County Council.

 

  1. Up to (2) people under 18 representing youth groups in the area of benefit, to be co-opted by the Committee, who may speak but not vote.

 

  1. Up to four (4) people who the Committee considers to have skills or experience of use to the Association who shall be co-opted members, provided that such co-opted members do not exceed one-third of the numbers elected or appointed under (a), (b), (c), and (d) above.

 

  1. If casual vacancies occur among the elected members of the Committee it shall have the power to fill these from amongst the members of the Association.  Any person appointed to fill a casual vacancy shall hold office until conclusion of the next Annual General Meeting of the Association and shall be eligible for election at that meeting.

 

  1. The proceedings of the Committee shall not be invalidated by any failure to elect or any defect in the election, appointment, nomination, co-option or qualification of any member.

 

  1. The Committee may appoint such special or standing committees as it deems necessary and shall determine their terms of reference powers, duration and composition.  All acts and proceedings of such special or standing committees shall be reported back to the Committee as soon as possible.

 

  1. The Chief Officer of the Malvern Hills District Council, Environmental Health and Housing Department or his/her representatives may attend Committee meetings with speaking rights, but no right to vote.

7.     Honorary Officers

  1. Only members of the Association whether individual or representative shall be eligible to serve as

       honorary Officers or members or the Committee.

 

b.   At the first Committee meeting following an Annual General Meeting the Committee shall elect a                   

      Chair, Vice Chair, Treasurer and Secretary from amongst their number and such other Honorary    

            Officers as the Committee shall from time to time decide.

 

c.   The Chair and Honorary Officers shall be ex-officio members of any Sub-Committee the Committee  may appoint.

 

  1. If casual vacancies occur among the Honorary Officers the Committee shall have the power to fill   

these from amongst its members. Any person appointed to fill such a casual vacancy shall hold office until the conclusion of the next Annual General Meeting of the Association and shall be eligible for election at that meeting.

 

8.     Paid officers

  1. The Committee may appoint or dismiss and fix the remuneration of such staff as may in its opinion be necessary. No paid member of the Association’s staff or staff seconded to work with the Association shall be a member of the Committee.

 

  1. The Committee may determine which if any person employed by or seconded to the Association shall be invited in a non-voting capacity to attend meetings of the Association and the Committee and other committees.

 

9.     Meetings of the Association.

  1. The first General Meeting of the Association shall be held not later than the 1st October 1991 and   

Once in each year thereafter an Annual General Meeting of the Association shall be held at such time (not being later than 31 October in each year) and place as the Committee shall determine. At least 21 clear days notice shall be given in writing by the Secretary to each member. The business shall include:-

 

i.                 Consideration of the Annual Report of work done by or under the auspices of the Association. 

 

ii.               The submission and adoption of an audited income and expenditure account and balance sheet for the previous financial year.

 

iii.             Election of the Committee.

 

iv.             Appointment of an auditor or auditors

 

v.               Consideration of any other business of which due notice has been given.

 

vi.             Wherever necessary consideration of and voting on proposals to alter this constitution in accordance with Clause 13 herof.

 

The chair of the Committee may at any time at his/her discretion and the Secretary shall within 21 days of receiving a written request so to do signed by not less than 20 members whether individual or representative and giving reasons for the request call a Special General Meeting of the Association by giving notification in writing to each member of the Association.

 

10.  Rules of procedure at all meetings

  1. Voting

 

Subject to the provision of Clause 13 all questions arising at any meeting shall be decided by a simple majority of those present and entitled to vote thereat. No member shall exercise more than one vote notwithstanding that she/he may have been appointed to represent two or more interests but in the case of an equality of votes the Chair shall have a second or casting vote.

 

  1. Quorum

 

One third of the members shall form a quorum at meetings of the General Committee and all other committees. One-third of the members of the Association or 25 members of the Association (whichever is the less) shall form a quorum at General Meetings.

 

  1. Minutes

 

Minute books shall be kept by the Association, the Committee and all other committees of the Association and the Secretary shall ensure that a record of all proceedings and resolutions is entered.
 

    1. Finance

  1. The Treasurer will ensure that proper accounts are kept for the Association.

 

  1. All money raised by or on behalf of the Association shall be applied to further the objects of the

Association and for no other purpose provided that nothing herein contained shall prevent the payment in good faith or reasonable and proper remuneration to any employee of the Association

or the repayment of reasonable out-of-pocket expenses.

 

  1. The financial affairs of the Association shall be run in accordance with a scheme of financial  

regulations that the Committee shall adopt.

 

  1. Income and expenditure accounts together with a balance sheet shall be audited at least once a year by the auditor or auditors appointed at the Annual General Meeting.

 

  1. Audited income and expenditure accounts for the previous financial year together with a balance

Sheet as at the end of that year shall be submitted by the Committee to the Annual General Meeting as aforesaid.

 

  1. A Bank Account shall be opened in the name of the Association with Lloyds Bank limited, of

Barnards Green or with such bank as the Committee shall from time to time decide.  Any two of the above must sign all cheques, standing orders etc made paid by the Association.

Any two of the above must sign all cheques, standing orders, etc, made paid by the Association.

  

    1. Trust Property

The title to all real or personal property which may be acquire by or on behalf of the Association shall be vested in a Corporation lawfully entitled to act as a Custodian Trustee or in not less than three nor more than six individuals ( not being members of the Committee), who shall enter into a Deed of Trust setting forth the purposes and conditions under which they hold such property in trust for the Association.

 

If the Committee by a simple majority decides at any time that on the ground of expense or otherwise it is necessary or advisable to dissolve the Association it shall call a meeting of all members of the Association who have the power to vote and of inhabitants of the area of benefit of the age of eighteen years and upwards of which meeting not less than 21 days notice (stating the terms of the resolution to be proposed thereat) shall be posted in a conspicuous place in the area of benefit and given in writing to the Charity Commissioners of England and such decision shall be confirmed by a simple majority of those present and voting at such meeting the committee shall have power to dispose of any assets held by or in the name of the Association. Any assets remaining after the satisfaction of any proper debts and liabilities shall be applied towards such charitable purposes for the benefit of the inhabitants of the area of benefit as the Committee may decide and as may be approved by the Charity Commissioners of England and Wales

 

13.Alterations to the Constitution

Any proposals to alter this Constitution must be delivered in writing to the Secretary of the association not less than 28 days before the date of the meeting at which it is first to be considered. An alteration will require the approval of both:-

 

  1. A simple majority of members of the Committee present and voting at a Committee meeting;

 

  1. A two-thirds majority of individual members and representative of the Affiliated Groups and Sections of the Association present and voting at a General Meeting.

 

Notice of each such meeting must have been given in accordance with normal procedure but not less than 14 clear days prior to the meeting in question and giving the wording of the proposed alteration.

 

Provided than no alternation to Clause 2 (objects), 13 (Dissolution) 6 [c], [d] and [j] (General Committee), or to this Clause shall be made and no alteration shall be made which has the the effect of causing the Association to cease to be a charity of law.

This Constitution was adopted as the Constitution of the Brook Farm committee Association at a public meeting duly convened at 1st October on 1991.

Footnote: On Thursday 1st November 2012, the Commitee decided that our organisation should be known as The Octagon, rather than Brook Farm Community Association, however, our Bank Account user name will remain as 'Brook Farm Community Association' for the time being.
